Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Elite Marketing AI platform and the website at elitemedia.enterprises, operated by Elite Media. By accessing or using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using our services you confirm that you have read, understood, and agreed to these Terms and our Privacy Policy. If you are using the platform on behalf of an organization, you represent that you have authority to bind that organization.

2. Service Description

Elite Marketing AI provides software, AI-assisted tools, and managed services for planning, launching, and optimizing advertising and growth campaigns across Meta (Facebook, Instagram), Google, WhatsApp Business, and other channels.

3. Acceptable Use

You agree not to use the platform to:

  • Violate any law or third-party right, including Meta's Platform Terms, Google Ads policies, or WhatsApp Business Messaging Policy.
  • Send spam, unsolicited messages, or harassing content.
  • Scrape, reverse-engineer, or attempt to derive source code of the platform.
  • Misrepresent your identity, your business, or the products you advertise.
  • Promote illegal goods or services, deceptive practices, hate speech, or content prohibited by our partner platforms.
  • Bypass rate limits, attempt unauthorized access, or interfere with platform security.

4. User Responsibilities

  • Provide accurate, current, and complete information.
  • Maintain the confidentiality of your credentials and API tokens.
  • Ensure you have rights and consents for all content and audiences you upload.
  • Comply with applicable advertising, privacy, and tax laws in jurisdictions where you operate.

5. Subscription, Payment & Billing

  • Subscription fees are billed in advance on a monthly or annual cycle, as selected at checkout.
  • Renewals are automatic unless you cancel before the next billing date.
  • All fees are exclusive of applicable taxes, which are added at checkout where required.
  • Refunds: subscription fees are generally non-refundable except where required by law. Pro-rata refunds may be granted at our discretion for verified service failures.
  • Ad spend and third-party media costs (Meta, Google, etc.) are billed directly to your accounts on those platforms and are not included in our subscription.
  • Failure to pay may result in suspension or termination of access.

6. AI-Generated Content Disclaimer

Elite Marketing AI includes features powered by generative AI (text, images, audio, recommendations). AI outputs are suggestions, not guarantees. They may contain inaccuracies, may not be original, and may not comply with every regulation or platform policy. You are solely responsible for reviewing, editing, fact-checking, and obtaining required approvals before publishing AI-generated content. Elite Media disclaims all liability for losses arising from reliance on AI outputs.

7. Intellectual Property

Our IP

The platform, including all software, designs, logos, and documentation, is the property of Elite Media or its licensors and is protected by intellectual property laws.

Your content

You retain ownership of content you upload. You grant Elite Media a worldwide, non-exclusive, royalty-free license to host, process, transmit, display, and modify your content solely as needed to operate and improve the service. We do not use customer data to train foundation models.

8. Third-Party Platforms

The service interoperates with third-party platforms (Meta, Google, WhatsApp, payment processors, AI providers). Your use of those platforms is subject to their respective terms. We are not responsible for outages, policy changes, or account actions taken by those platforms.

9. Limitation of Liability

To the maximum extent permitted by law, Elite Media's total aggregate liability for any claim arising out of or relating to the service is limited to the fees you paid us in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost revenue, or lost data.

10. Disclaimers

The service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied. We do not warrant specific campaign results, advertising ROI, uptime outside any separately agreed SLA, or that the service will be uninterrupted or error-free.

11. Account Termination

You may terminate your account at any time from your account settings. We may suspend or terminate access immediately for breach of these Terms, non-payment, fraudulent activity, or risk to other users or partner platforms. Upon termination, your right to use the service ends; data deletion follows our Data Deletion Instructions.

12. Platform Availability

We continuously improve the platform. We may add, modify, deprecate, or remove features. We will give reasonable notice of material changes that adversely affect paid features.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Arab Republic of Egypt, without regard to conflict-of-laws principles. Any dispute will be resolved exclusively by the competent courts of Cairo, Egypt, unless mandatory law of your country of residence requires otherwise.
